what version of VB was it written for / with? if it's VB6 or VB.net (1.1) the conversion wizard should do it all for you.

Try it and see how you get on, we've found the conversion wizard to be fairly reliable

The problem i'm getting is that modules cannot see each other, or in some cases cannot see class's that have been referenced in the project. I find it all relates to where the code file sit, I know this is important in 2005.

Unless it's hoooge, I'd rewrite. You might get it working but finding errors will be a nightmare and everything will be using the Microsoft Namespace which is a bad start.
